Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Terramantle (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

Terramantle provides a cloud-based and self-hostable registry for Terraform and OpenTofu modules, providers, and state files. The Service includes:

• Module registry with versioning and dependency tracking
• State file backend with locking and versioning
• Provider registry and mirroring for air-gapped networks
• Security scanning (modules, state files, providers)
• Audit logging and compliance tools
• Policy enforcement (OPA) and access controls

3. Accounts & Registration

To use Terramantle, you must register an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your password and API tokens
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity under your account

One account per user. Using multiple accounts to circumvent limits or controls may result in account termination.

4. Acceptable Use Policy

You agree not to use the Service to:

• Store or distribute malware, viruses, or malicious code
• Circumvent rate limits, access controls, or security measures
• Conduct denial-of-service attacks or abuse the infrastructure
• Violate applicable law or regulations
• Infringe intellectual property rights of third parties
• Harass, threaten, or defame others
• Conduct unauthorized security testing or penetration testing

We reserve the right to suspend or terminate accounts that violate this policy without prior notice if necessary to protect the Service.

5. Content Ownership & License

Your Content: You retain all intellectual property rights to modules, state files, policies, and other content you create or upload to Terramantle ("Your Content").

License to Us: By uploading content to Terramantle, you grant us a worldwide, non-exclusive license to:

• Store and process Your Content to provide the Service
• Scan Your Content for security vulnerabilities and malware
• Create backups and replicate data for redundancy
• Display Your Content (modules) in accordance with your access controls

We do not use Your Content for any purpose beyond providing the Service, except as required by law.

6. Tier Limits & Changes

Your tier (Starter, Team, Business, Enterprise) determines feature availability and limits. See our Pricing page for current limits.

Changes to Limits: We may change tier limits with 30 days' written notice. If limits change, you may upgrade, downgrade, or cancel your account.

7. Payment & Billing

If you upgrade to a paid tier, you agree to:

• Provide valid payment information (processed by Stripe)
• Pay all charges applicable to your tier monthly or annually
• Pay all applicable taxes (VAT, sales tax, etc.)

No Refunds: Payment is non-refundable except as required by law. Downgrading your tier will take effect at the end of your current billing period.

Invoice Schedule: We invoice in advance at the start of each billing period. Failed payments may result in account suspension.

8. Service Availability & SLA

We aim to maintain high availability, but we provide the Service "as is" without guarantees. We do not guarantee:

• Uninterrupted access or zero downtime
• Error-free or bug-free operation
• Specific performance or response times

We will use commercially reasonable efforts to notify you of planned maintenance 48 hours in advance.

9. Security & Compliance

We implement industry-standard security practices. However, you acknowledge that:

• No system is 100% secure
• You are responsible for securing your API tokens and passwords
• You must comply with applicable data protection and security regulations

Report security vulnerabilities to security@terramantle.dev, not public forums.

10. Intellectual Property

Terramantle IP: The Terramantle platform, including the name, logo, codebase, UI, and documentation, is the exclusive property of Plane Sailing Ltd and is protected by copyright and trademark law.

You may not copy, modify, or reverse-engineer Terramantle except as permitted by applicable law or with our written permission.

11. Termination

You may terminate: Cancel your account anytime via your account settings. Cancellation takes effect at the end of your current billing period. You will have 30 days to export Your Content.

We may terminate: We may suspend or terminate your account if you violate these Terms, engage in abuse, or fail to pay invoices after 30 days notice.

Data after termination: We will delete Your Content and personal data as specified in our Privacy Policy, unless required to retain by law.

12. Limitation of Liability

To the extent permitted by law:

• Cap: Our total liability for any claims arising from the Service shall not exceed three (3) months of fees you paid in the 12 months preceding the claim.
• Exclusions: We are not liable for indirect, incidental, consequential, punitive, or special damages, even if we were advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Plane Sailing Ltd and its officers, employees, and agents from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall remain in full force.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented at signup, constitute the entire agreement between you and Plane Sailing Ltd regarding the Service and supersede all prior agreements.
